Terms of Service

These Terms of Service govern your access to and use of the Thema sector intelligence platform and website at themahq.com (together, the "Service"), operated by Thema Ltd ("the Company," "we," "us," or "our") (20 Cannon Street, Floor 6, London EC4M 7LS, United Kingdom). By accessing or using the Service, you agree to be bound by these Terms.

Thema provides private equity deal teams and corporate development groups with structured sector maps derived from UK regulatory filings and employment signals. These Terms set out the framework governing your access to those outputs and your responsibilities as a user.

1. Agreement

These Terms govern your use of themahq.com and the Thema platform, operated by Thema Ltd (20 Cannon Street, Floor 6, London EC4M 7LS). By using the Service you accept these Terms.

Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer-protection law.

2. Use of the Service

The Thema platform is designed for professional use by deal teams and corporate development functions. When using the Service, you agree to the following:

• You must be at least 18 years old or have parental consent.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of the platform or underlying infrastructure.
• You may not copy, scrape, or reverse-engineer the Service or its outputs except as expressly permitted by law.
• You will use sector map outputs and target lists for internal business analysis only and will not resell or redistribute them without our written consent.
• You are responsible for maintaining the confidentiality of your access credentials.

3. Intellectual Property

The Service, including all software, data models, sector-mapping methodology, and platform outputs, is owned by Thema Ltd or its licensors and is protected by UK and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose (internal deal-sourcing and market analysis) during the term of your subscription. No title to or ownership of any part of the Service passes to you.

4. User Content

You are responsible for any content, sector briefs, or configuration information you submit to the platform. You grant the Company a limited licence to use, store, and process such content solely to provide and improve the Service. We do not use your submitted content to train models or benchmark outputs without your explicit written consent.

5. Right to Cancel (Consumer Contracts Regulations 2013)

Where you enter into a paid distance contract with the Company as a consumer, you have a 14-day right to cancel from the date of conclusion of the contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, send a clear cancellation statement to [email protected]. We will refund any amounts paid within 14 days of receiving your cancellation notice.

6. Disclaimers and Statutory Rights

The Service is provided "as is." Sector map outputs are derived from publicly available data and are intended as a starting point for deal-team analysis, not as investment advice or a substitute for professional due diligence. Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under English law. Consumer statutory rights (including Consumer Rights Act 2015 satisfactory-quality and reasonable-care-and-skill standards where applicable) are not affected by these Terms.

7. Limitation of Liability

To the extent permitted by law, the Company's total aggregate liability for any claim arising from or related to the Service will not exceed the greater of GBP 100 or the total subscription fees paid by you in the three months preceding the claim, except for liability that cannot be limited under mandatory law.

8. Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, or where required by law. You may cancel your subscription at any time by contacting [email protected]. Provisions that by their nature should survive termination (including intellectual property, limitations of liability, and governing law) will survive.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales (seated in London, United Kingdom) have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Service, subject to your right as a consumer to bring proceedings before the courts of your place of residence in the United Kingdom.

10. Changes

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, notified to active subscribers by email. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
